企業結合は経済学に限らずものすごくたくさん研究されている。
経済学に限っても、全体を完全に把握するのは僕には不可能だ。
とりあえず、頑張って少しまとめてみた。

企業結合一般
- Ashenfelter et al (2014, The Journal of Law & Economics):すごく助かるサーベイ論文。色んな産業ごとに合併の効果の研究をまとめてくれてる。http://www.nber.org/papers/w19939.pdf

銀行の合併

- カナダの銀行合併のデータを使って、住宅ローン市場への影響を見ている。
- 合併によって競争の度合いは下がるが、結果として(1)住宅ローン利率の(銀行間の)ばらつきは小さくなる (2) 利率は上がる
- 住宅ローン市場はサーチ市場だと考えられるが、サーチ理論から出てくるImplicationと整合的な結果になってる。
- 識別のソースは、「銀行 A は地域 1 と 2 、銀行Bは地域1のみで営業しているとしている。AとBが合併したときに、Post-Mergerで利率の分布が地域1と地域2でどのように変化するかの差をみる」という感じ。

- 合併によってローンスプレッドは減少する。Post-mergerの費用減少が大きいほどスプレッドの減少も大きい。
- 合併した銀行同士の市場の(地理的な)重なりのローンスプレッドへの影響は単調ではない。
- 市場の重なりが大きいほど費用減少も大きい。結果としてローンスプレッドも減少する。ただ、重なりが大きくなりすぎると、市場支配力が高まるせいか、ローンスプレッドは上昇に転じる。
- FRBが持ってる機密データを使った研究。

- Using a single mega-merger of health insurers.
- Higher concentration leads to higher premiums and also the exercise of monopsonistic power on physicians.
Determinants of Mergers

- Looking at the Italian banking industry.
- Studying how bank characteristics affect the likelihood of being a buyer or a target, but no pair characteristics.
- Some post-merger analysis using balance sheet data.

- Estimating a "merger value function".
- Take the set of buyers and targets. Create all possible combination of them. The observed merger pair should give higher "utility," which identifies what characteristics of firms induces merger.

- Estimate a two-sided matching model.
- Unlike Akkus et al, some kind of externality (from competition) of merger is incorporated.
- Those two structural papers adopt reduced form profit function and no "real" connection to subsequent market outcome.
Mergers in IO
- This is also a large literature and too large to follow. Many works in the airline industry.
- Typically, looks at only a few (or even just one) mergers to see price changes before and after the mergers. Cost changes are typically inferred from price changes through FOC (as in BLP).

- Look at Miller-Coors joint venture.
- They find that the price increase is large and cannot be justified by simple concentration story. Rather, they suggest the merger induce collusion.
- In terms of estimation technique, infer MC and Mark-up from FOCs as in BLP.

- Maybe closest to excess branch idea. Mergers help reduce fixed cost.
- It investigate on the cost efficiency coming from scale economies, i.e., owning multiple station reduces fixed cost.
- Build and estimate a dynamic model of M&A and product positioning. Really complicated.
- My impression is that building structural model of mergers are difficult.

コーポレートファイナンスの合併の論文
- 死ぬほどうんこクオリティーの論文が多くて、とてもじゃないけど読む気にもまとめる気にもならない。
- 一番多いのは、財務諸表のデータを使って雑に回帰式を推定している。
- 全体的な印象としては、「結局ケースバイケース!」って感じ。
